What is a resolution?

A resolution is an agreement or decision made by the directors or members of a company. When a company resolution is passed, the company is bound by it. A company resolutions is normally recorded by the directors or members of the company in writing. A record of the resolution may then be kept on file. In many cases it is also necessary for a resolution to be sent to Companies House.
